The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

• Collect usernames or email addresses for unsolicited communications.
• Use the Services to compete with us or for revenue-generating commercial purposes.

You and AxisPace agree that we may access, store, process, and use any information and personal data that you provide, in accordance with your choices and settings.

By submitting feedback or suggestions, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and improve the Services based on such feedback, without compensation to you.

We do not assert ownership over your Contributions. You retain full ownership of all your Contributions and associated intellectual property rights. We are not liable for any statements or representations in your Contributions, and you are solely responsible for their content.

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Legal Terms.
• Take appropriate legal action against anyone who violates the law or these Legal Terms.
• In our sole discretion, refuse, restrict, or disable access to any Contributions or portion thereof.
• Remove files or content that are excessive in size or burdensome to our systems.
• Otherwise manage the Services to protect our rights and facilitate proper functioning.

These Legal Terms remain in full force while you use the Services.

If your account is terminated or suspended, you are prohibited from registering a new account under any name, fake or otherwise. We also reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive redress.

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We are not obligated to update any information on our Services and will not be liable for any modification, suspension, or discontinuance.

We cannot guarantee the Services will be available at all times. Maintenance, hardware, or software issues may cause interruptions or errors. We have no liability for any loss, damage, or inconvenience caused by inability to access the Services during downtime.

These Legal Terms shall be governed by and construed in accordance with the laws of Madagascar. You irrevocably consent that the courts of Antananarivo shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

Informal Negotiations

Before initiating arbitration, both parties agree to first attempt to negotiate any dispute informally for at least 30 days, commencing upon written notice from one party to the other.

Binding Arbitration

Any unresolved dispute shall be referred to the International Commercial Arbitration Court under the European Arbitration Chamber (Brussels, Belgium). The proceedings shall be conducted in English, with 3 arbitrators, seated in Madagascar, under the substantive law of Madagascar.

Restrictions

All arbitration shall be limited to the individual dispute between the parties. No class-action arbitration or representative proceedings on behalf of the general public are permitted.

Exceptions

The following disputes are not subject to informal negotiation or arbitration: enforcement of intellectual property rights, allegations of theft, piracy, invasion of privacy, unauthorized use, or claims for injunctive relief.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions — including descriptions, pricing, and availability. We reserve the right to correct any such errors and update information at any time without prior notice.

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profit, lost revenue, or loss of data — arising from your use of the Services.

Our total liability to you for any cause shall at all times be limited to the lesser of the amount paid by you to us or €100.

You agree to defend, indemnify, and hold us harmless — including our subsidiaries, affiliates, officers, agents, partners, and employees — from and against any loss, damage, liability, claim, or demand arising out of:

• Your use of the Services.
• Your breach of these Legal Terms.
• Breach of your representations and warranties.
• Your violation of any third party's rights, including intellectual property rights.
• Any harmful act toward another user connected via the Services.

We maintain certain data you transmit to the Services for the purpose of managing performance and your use of the Services. Although we perform regular backups, you are solely responsible for all data you transmit or generate through your use of the Services.

We shall have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement for written communication.

You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and transaction records. You waive any requirements under applicable law for original signatures or non-electronic records.

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise any right or provision shall not operate as a waiver of such right or provision.

We may assign any or all of our rights and obligations at any time. If any provision of these Legal Terms is found to be unlawful or unenforceable, the remaining provisions remain valid. No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Legal Terms.
